Terms of Service

The short version: SoleDirector is a financial management tool, not a regulated financial or tax adviser. AI-generated responses may contain errors. Always verify figures and tax calculations independently before filing or making financial decisions. By using the service you agree to these terms.

ℹ️1. About SoleDirector

SoleDirector is a UK-based financial management tool designed for sole directors of UK limited companies and UK sole traders. It provides real-time tax estimates, bookkeeping, receipt scanning, AI-assisted financial guidance, and HMRC Making Tax Digital submission support. SoleDirector is currently operated by its founder.

SoleDirector is not a regulated financial adviser, accountant, or tax agent under UK law. Nothing in the service constitutes regulated financial advice, legal advice, or professional tax advice. For complex tax matters, consult a qualified accountant or tax adviser.

2. Who can use SoleDirector

  • You must be 18 years of age or older.
  • You must be based in the United Kingdom.
  • You must have the legal authority to manage finances for the business entity you register (sole director of a UK limited company, or a UK sole trader acting in your own name).
  • SoleDirector is not available for use outside the UK, and does not support non-UK tax jurisdictions.

👤3. Your account

  • Credentials: you are responsible for keeping your login credentials secure. Do not share your account with others.
  • Accuracy: you are responsible for the accuracy and completeness of the data you enter. SoleDirector's AI responses and tax estimates are derived entirely from the figures you provide. Incorrect input will produce incorrect output.
  • One entity per account: each account is for one business entity only. Do not use a single account to manage the finances of multiple companies or trading names.

💳4. Subscription and billing

  • Access to SoleDirector requires an active subscription, obtained either by redeeming a voucher code or by setting up a paid card subscription from your Settings.
  • Paid subscriptions are billed monthly. The applicable price is shown at the point of subscribing in your Settings.
  • You may cancel at any time from Settings. Cancellation takes effect at the end of the current billing period; you retain full access until that date.
  • We do not offer refunds for partial billing periods unless required by law.
  • Voucher access is time-limited as stated on the voucher. Vouchers are non-transferable and may only be redeemed once.
  • We reserve the right to change pricing with reasonable notice provided inside the app.

Important: AI-generated content is not a substitute for professional advice. Read section 5 carefully before relying on any figures or recommendations produced by SoleDirector.

🤖5. AI-generated responses and tax estimates

SoleDirector has been built with reliability in mind. Tax calculations, figures, and financial summaries are computed directly within the application using your own data and up-to-date UK tax rules. AI is used for summarisation and guidance, not to perform arithmetic. Significant engineering and testing effort has gone into ensuring that responses are accurate and consistent. That said, AI technology is not infallible, and the following limitations apply:

  • Calculations are application-driven, not AI-generated. Tax estimates, income totals, and period summaries are computed by the application and presented to the AI for context. The AI does not perform these calculations independently.
  • AI responses may still contain errors. Guidance, explanations, and recommendations are generated by an AI assistant and may occasionally be imprecise, misstate a tax rule, or reflect information that is no longer current.
  • Always verify independently. Before filing any tax return, submitting any return to HMRC, making a significant financial decision, or acting on any figure produced by SoleDirector, you must independently verify the accuracy of that information.
  • Not a substitute for professional advice. Tax law is complex and individual circumstances vary. SoleDirector cannot replace the advice of a qualified accountant or tax adviser for anything beyond basic guidance.
  • No liability for AI outputs. SoleDirector accepts no responsibility for any tax liability, penalty, financial loss, or other consequence arising from your reliance on AI-generated content without independent verification.

🏛️6. HMRC MTD integration (sole traders)

SoleDirector allows sole traders to submit quarterly income and expense summaries to HMRC via the Making Tax Digital for ITSA API. The following terms apply to this feature:

  • By connecting your HMRC Government Gateway account and authorising a submission, you are instructing SoleDirector to submit data to HMRC on your behalf. You remain solely responsible for the accuracy of that data.
  • Always review the submission preview carefully before authorising. Once submitted to HMRC, corrections must be made via an amendment, which may trigger recalculations.
  • SoleDirector is not liable for any HMRC penalty, interest, or assessment arising from submissions that contain incorrect figures, whether those figures were entered by you or produced by the AI assistant.
  • You can disconnect your HMRC connection at any time from Settings. Disconnecting revokes SoleDirector's access to your HMRC account immediately.

🔒7. Your data

  • Your financial data belongs to you. SoleDirector stores it encrypted on UK-based servers and does not sell it or use it for advertising.
  • You can export your transactions and receipts as CSV at any time via the Export section.
  • If you delete your account, all personal data and financial records are permanently deleted within 30 days.

  • The SoleDirector application itself, including its design, code, and AI logic, belongs to us. Nothing in these Terms transfers any ownership of it to you.

⚠️8. Acceptable use

  • Use SoleDirector only for lawful purposes and only to manage your own business finances.
  • Do not share your account credentials or allow others to access your account.
  • Do not attempt to reverse-engineer, copy, or circumvent any part of the service.
  • Do not use the service to process financial data for businesses other than the one registered to your account.
  • We reserve the right to suspend or terminate accounts that violate these terms without notice.
  • We may also discontinue the SoleDirector service entirely, giving at least 30 days' notice inside the app, should we ever need to.

⚖️9. Limitation of liability

We don't guarantee that SoleDirector will always be available, error-free, or free of bugs, and we may occasionally need to suspend the service for maintenance or to investigate a security issue.

To the maximum extent permitted by applicable law:

  • SoleDirector's total liability to you for any claim arising out of or related to these Terms or the service shall not exceed the total amount you paid for the service in the twelve months preceding the claim.
  • SoleDirector is not liable for any indirect, incidental, special, consequential, or punitive loss, including loss of profit, loss of data, loss of business opportunity, or tax penalties, even if we were advised of the possibility of such loss.
  • Nothing in these Terms limits liability that cannot be excluded under UK law, including liability for death or personal injury caused by negligence, or fraud.

🇬🇧10. Governing law

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

📢11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by posting a notice inside the app and updating the date at the top of this page. Continued use of SoleDirector after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with a material change, you may cancel your subscription before it takes effect.
